# The agreement, in plain words.

These terms cover your ClickSort account, the free tier, subscriptions and what each of us is responsible for. The [End User Licence Agreement](https://vonian.net/eula?hsLang=en) covers the software itself.

## 1. These terms

These terms govern your use of the ClickSort service and the website at vonian.net. The [End User Licence Agreement](https://vonian.net/eula?hsLang=en) governs the ClickSort add-in software itself. Where the two differ on the same subject, the EULA governs the software licence and these terms govern everything else.

By creating an account, installing the add-in, or using the free tier, you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.

## 2. Who we are

Vonian is the registered business name of Lachlan Bradley Gee, a sole trader (ABN 33 746 374 614) based in Western Australia. Vonian is the supplier of the ClickSort service. Vonian is **not** the seller of record for paid subscriptions — see section 5.

## 3. Accounts

ClickSort works inside Microsoft Outlook and identifies you by your Microsoft Entra account. You are responsible for who in your tenant you allow to install and use it, and for their compliance with these terms. You must not share a seat between people.

## 4. Free tier

### 14-day full trial, then 5 filings a day

For 14 days from first activation you get every feature with no daily limit. After that the free tier lets a user file up to 5 filings per day, with no time limit: it does not expire and does not require payment details.

We may change the free tier — including the daily limit — or withdraw it. If we do, we will give **at least 30 days’ notice** by email to account contacts and on vonian.net before the change takes effect. A change to the free tier does not affect a paid subscription already running.

## 5. Paid plans and payment

ClickSort has three paid plans, each **per user**: **Monthly**, a subscription billed monthly; **Annual**, a subscription billed yearly; and **Lifetime**, a one-time payment for a lifetime licence with updates included. Prices are published on [vonian.net/pricing](https://vonian.net/pricing?hsLang=en).

**Paddle is the merchant of record.** Purchases are made from the Paddle entity named at checkout and on your invoice — Paddle.com Market Limited, Paddle.com Inc. or Paddle.com (Canada) Ltd., depending on where you are — not from Vonian. Paddle is the seller, invoices you, collects payment, and is responsible for GST, VAT and sales tax. Your payment contract for the transaction is with Paddle and is subject to Paddle’s own terms in addition to these. Vonian never receives your full card details.

Organisation purchasing and an editable licensed-user list are planned. Volume discounts have not been set.

Monthly and Annual subscriptions renew automatically at the end of each period until cancelled. You can cancel at any time through Paddle or by emailing [support@vonian.net](mailto:support@vonian.net); cancellation takes effect at the end of the paid period and access continues until then. A Lifetime licence is a single payment, does not renew, and licenses only the person who bought it. “Lifetime” means for as long as Vonian supplies ClickSort.

## 6. Refunds

**Refunds are handled by Paddle under Paddle’s refund policy**, because Paddle is the seller of record. Request a refund through Paddle’s buyer support or by emailing [support@vonian.net](mailto:support@vonian.net) and we will pass it to Paddle. Under that policy a purchase is not refundable unless the law requires it or Paddle agrees to a refund. A Lifetime licence is not refundable if you change your mind, but your rights under the Australian Consumer Law still apply. If a purchase is fully refunded, or the payment is charged back, the licence it paid for ends and ClickSort reverts to the free tier; a partial refund does not end it. Section 9 describes one case where we will arrange a refund in addition to that policy. Nothing in this section limits your rights under the Australian Consumer Law (section 12).

## 7. Your data

ClickSort is designed so that your mail stays on your device:

- The prediction model **trains and runs locally**, inside your Microsoft 365 session on your own device. Vonian’s servers do not receive message subjects, bodies, senders, recipients, attachments or folder names.
- The **licence check** sends the Microsoft sign-in token that Office issues to ClickSort, so we can confirm an active entitlement. That token carries your Microsoft **tenant ID**, your **user object ID** and your **sign-in name**, which is usually your email address. We record the tenant ID and user object ID against a seat. The licence check does not send the add-in’s version, and carries no mailbox data.
- If you buy a paid plan, Paddle holds your billing identity as merchant of record and sends us the **billing email address**. We store that address in plain text in our licence database and, for a subscription not started from Upgrade in the ClickSort pane, such as a company account Vonian sets up, our CRM (HubSpot) also holds it.
- The add-in sends the **number of messages you file each day**, by suggestion and by hand, and we store those numbers against your tenant and user identifiers. Numbers only, no message content.
- Contact details you give us on the website are held in our CRM.

What we hold, and where, is set out in our [Privacy Policy](https://vonian.net/privacy-policy-vonian?hsLang=en). That policy prevails over this section if the two ever differ.

Your mailbox content remains your organisation’s data inside your Microsoft tenant. We claim no rights in it, and we have no mechanism to read it.

## 8. Acceptable use

You must not:

- resell, sublicense or provide ClickSort as a service to anyone outside your organisation, unless we agree in writing;
- use ClickSort to process mail in a mailbox you are not authorised to access;
- circumvent the free-tier limit, seat count or licence check, or use ClickSort without a valid entitlement;
- probe, scan, overload or attempt to gain unauthorised access to the ClickSort API or vonian.net, or run automated load against them beyond normal use;
- use ClickSort in breach of any law, or to store or transmit unlawful material; or
- misrepresent ClickSort’s capabilities to your own customers, in particular by claiming it provides compliance archiving or that it is certified against a standard it is not.

ClickSort is a productivity tool. It is **not** an archiving, records-management, eDiscovery or legal-hold system, and must not be relied on as one.

## 9. Availability and changes to the service

ClickSort depends on Microsoft 365 and Microsoft Graph, which we do not control. We do not promise a particular uptime level. We may change, add to or remove features. If we remove a material feature you are paying for, we will give at least 30 days’ notice and you may cancel, and we will arrange a pro-rata refund of the unused paid period through Paddle.

## 10. Suspension and termination

You may stop using ClickSort and cancel at any time (section 5).

We may suspend or terminate your access if you materially breach these terms or the EULA, if payment fails and is not corrected, or if we are required to by law. Except where the breach is serious or unlawful use is involved, we will give you notice and a reasonable chance to fix the problem first.

If a paid subscription ends, your entitlement stops and the add-in reverts to the free tier. If we terminate for breach, your licence ends entirely and you must remove the add-in, as set out in section 8 of the [EULA](https://vonian.net/eula?hsLang=en). In either case your locally stored model and preferences stay on your device until you remove the add-in or clear its stored data. We may keep records we are required to keep for tax or legal purposes, as described in the [Privacy Policy](https://vonian.net/privacy-policy-vonian?hsLang=en).

Sections 7, 11, 12, 13 and 14 survive termination.

## 11. No warranty

Subject to section 12, ClickSort is provided **“as is”** and **“as available”**. We do not warrant that it will be uninterrupted or error-free, that filing suggestions will be accurate, or that it will meet your requirements. **Filing suggestions are predictions and you are responsible for reviewing them.** To the extent permitted by law, we exclude all warranties, conditions and terms not expressly stated here.

## 12. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the **Australian Consumer Law** (Schedule 2 to the *Competition and Consumer Act 2010* (Cth)) or any other law, where doing so would be void or unlawful.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure you are entitled to a replacement or refund, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods or services remedied if they are not of acceptable quality and the failure does not amount to a major failure.

Where we are permitted to do so, our liability for breach of a non-excludable guarantee in relation to services is limited to resupplying the services, or paying the cost of having them resupplied.

The limits in section 13 apply only to the extent the Australian Consumer Law allows.

## 13. Limitation of liability

Subject to section 12, and to the maximum extent permitted by law:

- **Our total liability** to you arising out of or in connection with these terms, the EULA and ClickSort, however arising (including in contract, negligence or under statute), **is limited in aggregate to the total fees you paid for ClickSort in the 12 months immediately before the event giving rise to the liability.** If you have paid nothing — including on the free tier — that amount is nil. Section 12 continues to apply regardless.
- We are **not liable** for loss of profit, revenue, goodwill or anticipated savings, for loss of or corruption of data, or for any indirect or consequential loss.
- We are **not liable** for a misfiled or unfiled message. ClickSort suggests; you accept or reject. Keep your own backups and retention arrangements.

Each party must take reasonable steps to reduce its loss. This cap is shared with, and not additional to, the cap in section 11 of the [EULA](https://vonian.net/eula?hsLang=en): the two documents have one combined cap, not two.

## 14. Governing law

These terms are governed by the laws of **Western Australia**. You and Vonian submit to the non-exclusive jurisdiction of the courts of Western Australia and the courts able to hear appeals from them.

## 15. Changes to these terms

We may change these terms. For a material change we will give at least **30 days’ notice** by email to account contacts and on vonian.net, and the change takes effect 30 days after that notice or, for a Monthly or Annual subscription, at the start of the first billing period after those 30 days. If you do not accept a material change, you may cancel before it takes effect. Continuing to use ClickSort after that date means you accept the change.

## 16. General

These terms and the [EULA](https://vonian.net/eula?hsLang=en) are the entire agreement between you and Vonian about ClickSort, and replace anything said earlier. If part of these terms is unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it. You may not transfer your rights under these terms without our written consent; we may transfer ours if the business is sold, on at least 30 days’ notice to you; if we do, you may cancel before the transfer takes effect and we will arrange a pro-rata refund of any unused paid period through Paddle.
