# What the licence actually grants.

This agreement covers the ClickSort add-in software. Your account, the free tier, subscriptions and billing are covered by the [Terms of Service](https://vonian.net/terms?hsLang=en).

## 1. This agreement

This agreement is between you and Vonian — the registered business name of Lachlan Bradley Gee, a sole trader (ABN 33 746 374 614) based in Western Australia — and covers the **ClickSort add-in software**, the code that runs inside Microsoft Outlook, including its updates. The [Terms of Service](https://vonian.net/terms?hsLang=en) cover your account, the free tier, subscriptions, billing and acceptable use. Read both.

You accept this agreement by installing or using ClickSort. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.

## 2. Licence

Vonian grants you a **limited, non-exclusive, non-transferable, revocable licence** to install and use ClickSort:

- on the Microsoft 365 mailboxes of your own organisation;
- by the number of users covered by your active entitlement (one seat per named person), or by any user under the free tier; and
- for your internal business purposes.

The licence lasts while your entitlement is active, and ends when it does.

**Trial and free tier.** Without a paid subscription the same licence applies: a **14-day full trial** from first activation, then **5 filings per day** per user, with no time limit. The free-tier terms, including how we may change them on notice, are in section 4 of the [Terms of Service](https://vonian.net/terms?hsLang=en).

## 3. What you must not do

You must not:

- copy ClickSort except as needed to install and run it, or distribute, sublicense, sell, rent or lease it;
- reverse engineer, decompile or disassemble it;
- modify it, or create derivative works from it;
- remove or obscure any copyright, trade mark or licence notice;
- defeat, bypass or tamper with the licence check, the seat count or the free-tier limit; or
- extract, reuse or retrain the prediction model outside ClickSort, or use ClickSort to build a competing product.

Nothing in this section stops you doing anything that Division 4A of Part III of the *Copyright Act 1968* (Cth) permits for computer programs, such as reproducing ClickSort in the course of running it, making a back-up copy, or reproducing it to the extent needed for interoperability, error correction or security testing. Section 47H of that Act makes any term to the contrary ineffective, and we do not rely on one.

## 4. How the software works

This section describes ClickSort’s design and matters for what the licence covers.

### The model runs on your device, not on our servers

ClickSort trains and scores inside your Microsoft 365 session. Vonian’s servers never receive message subjects, bodies, senders, recipients, attachment names or folder names, and never receive your model.

- **The prediction model runs locally in your tenant.** The model and your preferences are stored in the browser profile of the add-in, partitioned per tenant and mailbox.
- **Message content is read in memory only** while ClickSort learns or scores. The model keeps the senders and words it learns from, with counts per folder, on your device; the full message is not stored.
- **The licence check sends the Microsoft sign-in token** that Office issues to ClickSort. The token carries your Microsoft tenant ID, user object ID and sign-in name (usually your email address), and is used to confirm an entitlement. It does not include the add-in’s version, and carries no mailbox data.
- **Mail movement is performed by Microsoft**, through Microsoft Graph, using your own credentials and permissions. ClickSort asks Microsoft to move a message within your own mailbox; the message does not pass through Vonian.

The model, preferences and cached folder list on your device are **yours**. You can remove them by clearing the add-in’s stored site data for app.vonian.net. Vonian cannot read them.

## 5. Ownership

ClickSort is licensed, not sold. Vonian and its licensors own all intellectual property rights in the software, including its interface, the classifier design and the ClickSort and Vonian names and marks. You get only the rights stated in section 2.

Your mail, your folder structure and the model trained on your own device are yours. Vonian claims no rights in them.

## 6. Updates

ClickSort is delivered as an Outlook add-in and **updates automatically**. An update may add, change or remove functionality, and is covered by this agreement. Where an update removes a material feature you pay for, section 9 of the [Terms of Service](https://vonian.net/terms?hsLang=en) applies.

## 7. Third-party requirements

ClickSort requires **Microsoft 365 and Microsoft Outlook**, and uses Microsoft Graph. Your use of those is governed by your agreement with Microsoft, not this one. Paid plans are sold by **Paddle** as merchant of record, under Paddle’s terms. Vonian is not responsible for the availability, changes or failures of Microsoft’s or Paddle’s services.

## 8. Term and termination

This agreement runs while you have ClickSort installed or an entitlement active.

It ends automatically if you breach section 3, and Vonian may end it on notice if you materially breach it or the [Terms of Service](https://vonian.net/terms?hsLang=en) and do not fix the problem in a reasonable time. You may end it at any time by removing the add-in.

On termination you must stop using ClickSort and remove it from your mailboxes. Locally stored data on your device is removed by clearing the add-in’s stored data. Sections 3, 5, 9, 10, 11 and 12 survive.

## 9. No warranty

Subject to section 10, ClickSort is provided **“as is”**. To the maximum extent permitted by law, Vonian gives no warranty that it will be error-free or uninterrupted, that filing suggestions will be correct, or that it is fit for any particular purpose.

**Filing suggestions are predictions.** You decide whether to accept one. ClickSort is not an archiving, records-management, eDiscovery or legal-hold system and must not be relied on as one.

## 10. Australian Consumer Law

Nothing in this agreement excludes, restricts or modifies any guarantee, right or remedy you have under the **Australian Consumer Law** (Schedule 2 to the *Competition and Consumer Act 2010* (Cth)) or any other law, where doing so would be void or unlawful.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure you are entitled to a replacement or refund, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods or services remedied if they are not of acceptable quality and the failure does not amount to a major failure.

Where we are permitted to do so, our liability for breach of a non-excludable guarantee is limited, at our option, to replacing or repairing the software, resupplying it, or paying the cost of replacement or resupply.

## 11. Limitation of liability

Subject to section 10, and to the maximum extent permitted by law:

- **Vonian’s total liability** arising out of or in connection with this agreement and ClickSort, however arising (including in contract, negligence or under statute), **is limited in aggregate to the total fees you paid for ClickSort in the 12 months immediately before the event giving rise to the liability.** If you have paid nothing — including on the free tier — that amount is nil. Section 10 continues to apply regardless.
- Vonian is **not liable** for loss of profit, revenue, goodwill or anticipated savings, for loss of or corruption of data, or for any indirect or consequential loss.
- Vonian is **not liable** for a message filed to the wrong folder, or not filed, whether or not ClickSort suggested it.

This cap is shared with, and not additional to, the cap in section 13 of the [Terms of Service](https://vonian.net/terms?hsLang=en): the two documents have one combined cap, not two.

## 12. Governing law

This agreement is governed by the laws of **Western Australia**, and you and Vonian submit to the non-exclusive jurisdiction of the courts of Western Australia and the courts able to hear appeals from them.

### 13. General

This agreement and the [Terms of Service](https://vonian.net/terms?hsLang=en) are the entire agreement about ClickSort. If part of it is unenforceable, the rest continues to apply. Vonian may update this agreement; a material change is notified as described in section 15 of the Terms of Service.
